"Bertelsmann sells magazines for $350M
Meredith buys four titles including Fitness, Family Circle; has option to buy Inc., Fast Company.
Meredith Corp. said Tuesday it has agreed to pay $350 million to acquire a chain of U.S. magazines from Germany’s Bertelsmann, including Family Circle and Fitness.
Meredith (unchanged at $47.64, Research), the Iowa-based publisher of Better Homes and Gardens and Ladies’ Home Journal, said it expects the deal to close by June 30. Along with Family Circle and Fitness, Meredith will acquire Parents magazine and Child magazine from Bertelsmann’s Gruner + Jahr unit, which will have an option to sell Inc. and Fast Company.
Bertelsmann and G+J’s parent unit in Germany declined to comment.
In an interview with Reuters last October, Bertelsmann Chief Executive Gunter Thielen dismissed speculation that its rocky experience in the U.S. would force it to exit the market.
“We don’t plan to sell Gruner + Jahr USA,” Thielen said at the time. “It wouldn’t make a lot of sense to sell the business just because we are having a minor crisis.”
He said if things were going well in the next year, G+J USA would launch a new title.
The unit was bruised by accusations it inflated circulation figures, which emerged during a nasty court battle with entertainer Rosie O’Donnell. The publisher earlier this year sued an independent circulation agent, accusing it of providing faulty subscription data.
A rival media group, Paris-based Lagardere, told Reuters it recently offered to buy the U.S. magazines from Bertelsmann and was told they weren’t for sale.
“If they were to sell the magazines, we would take a look,” a Lagardere spokesman said. “But we are very skeptical because we contacted them recently and they said that a sale was out of the question.”
Lagardere has been seeking to expand its presence in the U.S. with more magazines or a book publisher.
G+J USA, the sixth-biggest U.S. magazine publisher, took a first step to try and clean up the business under new Chief Executive J. Russell Denson last October by selling its teen magazine YM to Conde Nast.
Bertelsmann paid a combined $560 million to buy Fast Company and Inc. just as the Internet bubble was bursting. The two business magazines wound up getting hit hard by a collapse in advertising from the once free-spending tech companies."

The company tried to send the subscriptions to them. They returned them and asked for a refund. I was not a fan of Rosie, but a few friends of mine converted me. Go Rosie, do you think you are going to help the new owners now?
